AGREEMENT

This agreement (“Agreement”) between her Soul Shot and the Take Your Shot Series guest  (hereinafter referred to as “Guest”).

WHEREAS, her Soul Shot is producing an interview and/or Workshop series (“Series”) and desires to engage Guest as a guest on the Series;

WHEREAS, Guest is willing and able to participate in the Series and agrees to comply with the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Guest agrees to appear as a guest on the Series on the date(s) and time(s) agreed upon by her Soul Shot and Guest.
2. Guest agrees to participate in the Series in a professional and respectful manner, and to comply with all reasonable requests and instructions of her Soul Shot and their representatives.
3. Guest agrees to grant to Interviewer and their representatives the right to record, film, photograph, and otherwise capture Guest’s likeness and voice during the Series, and to use such recordings in any and all media now known or hereafter devised, throughout the world, in perpetuity, for any purpose whatsoever, including without limitation, for marketing and promotional purposes. her Soul Shot shall have sole ownership of all rights in and to the content produced in connection with the Series, and may use such content as they wish, without further permission from or compensation to Guest.
4. Guest represents and warrants that their participation in the Series will not infringe upon the rights of any third party, including without limitation, any copyright, trademark, or other intellectual property right.
5. Guest agrees to indemnify and hold harmless her Soul Shot and their representatives from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with Guest’s participation in the Series.
6. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to the same.
7. This Agreement may not be modified or amended except in writing signed by both parties.
8. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors, and assigns.
9. This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflicts of law provisions.
